1. Introduction

These Terms of Service (“Terms”) govern your access to, and use of the websites, cloud platform, software, APIs, and related services provided by Citta AI Inc. (“Citta AI”, “we”, “our”, or “us”).

By creating an account, accessing the site, or using any part of the Services, you agree to these Terms.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have authority to bind such entity.

If you do not agree to these Terms, you may not use the Services.

2. Key Definitions

  • “Services” means the Citta AI cloud platform, website, APIs, documentation, dashboards, analytics, integrations, and related offerings.
  • “Customer”, “you”, or “your” refers to the user or organization using the Services.
  • “Customer Data” means data, files, content, or information submitted, stored, transmitted, or processed by you within the Services.
  • “Account” means your registered user profile.
  • “Authorized Users” means your employees or contractors permitted to access the Services.
  • “Subscription Plan” means the selected paid or free tier of service.

3. Eligibility and Account Requirements

To use the Services, you must:

  • Be at least 18 years old.
  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your log-in credentials.
  • Be legally able to enter into a binding contract.

You are responsible for all actions taken through your account and by your Authorized Users.

We may reject or terminate accounts that violate law, misuse the platform, or pose a security risk.

4. License and Acceptable Use

4.1 License to Use the Services

Citta AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and your Subscription Plan.

4.2 Prohibited Activities

You agree not to:

  • Copy, modify, reverse engineer, or attempt to extract source code.
  • Interfere with the security, performance, or integrity of the Services.
  • Access the Services using automated means not provided by us.
  • Use the Services for high-risk or unlawful activities.
  • Rent, sell, sublicense, or exploit the Services without permission.
  • Use the platform to build a competing service.
  • Upload viruses, malicious code, or harmful content.

Citta AI reserves the right to investigate violations and suspend or terminate access.

5. Customer Data

5.1 Ownership

You retain all rights, title, and interest in Customer Data. We do not own your data.

5.2 License to Citta AI

You grant Citta AI a worldwide, limited license to:

  • Store and process Customer Data
  • Transmit and display Customer Data
  • Generate insights, logs, and metadata
  • Use anonymized or aggregated usage patterns to improve the Services

This license exists solely to operate, maintain, and enhance the Services.

5.3 Prohibited Data Types

Unless explicitly agreed upon in a separate contract, you may not upload:

  • Protected Health Information (PHI) under HIPAA
  • Payment card data governed by PCI-DSS
  • Government-classified or export-controlled data
  • Data subject to ITAR or other defense regulations
  • Highly regulated financial or biometric data

6. Confidentiality

Each party agrees to:

  • Keep confidential information secure
  • Not disclose confidential information except to employees or contractors who need access
  • Notify the other party of unauthorized access

Citta AI will not view Customer Data unless required for support, security investigations, legal reasons, or with your explicit request.

7. Intellectual Property Rights

The Services, including software, code, UI, designs, logos, and documentation, are the intellectual property of Citta AI or its licensors.

Except for your limited license, no rights or ownership are transferred.

You may not:

  • Copy service features
  • Modify or create derivative works
  • Use Citta AI branding without permission

8. Subscription Plans, Billing, and Payment

8.1 Fees

Subscription fees are based on the Service tier and billing cycle you select. Fees are non-refundable unless required by law.

8.2 Auto-Renewal

Subscriptions renew automatically at the end of each billing cycle unless canceled.

8.3 Taxes

You are responsible for any applicable taxes.

8.4 Non-Payment

Failure to pay may result in:

  • Suspension of access
  • Termination
  • Deletion of data after a reasonable grace period

Invoices must be paid within the stated terms.

9. Service Levels & Maintenance

We aim to provide a reliable and performant service.

However:

  • We do not guarantee 100% uptime.
  • Maintenance, updates, and emergency patches may temporarily limit access.
  • Service performance may vary based on load, integrations, and third-party services.

Enterprise customers may receive enhanced SLAs under a separate agreement.

10. Third-Party Services & Integrations

The Services may include integrations with third-party providers (cloud storage, compute services, analytics, etc.).

We are not responsible for:

  • Third-party availability
  • Data handling practices of third-party services
  • Costs charged by third-party providers

Your use of third-party tools is subject to their terms and privacy policies.

11. Security

Citta AI implements:

  • Encryption in transit and at rest
  • Strict access controls
  • Secure infrastructure hosting

You are responsible for:

  • Securing user credentials
  • Managing internal permissions
  • Protecting your systems used to access the Services

12. Termination and Suspension

We may suspend or terminate your access if:

  • You violate these Terms
  • Your account poses security or operational risk
  • Required by law
  • Fees remain unpaid after reminders

Upon termination:

  • Your license ends
  • Your access to the Services stops
  • Your data may be deleted after retention windows
  • You may request data export before deletion

13. Warranty Disclaimers

To the extent permitted by law, the Services are provided:

“AS IS” and “AS AVAILABLE.”

We disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy of results
  • Continuous or error-free operation

14. Limitation of Liability

To the fullest extent allowed by law:

Citta AI’s total liability is limited to the fees you paid in the 12 months preceding the claim.

Citta AI is not liable for:

  • Loss of profits
  • Loss of business or reputation
  • Loss of data
  • Indirect or consequential damages
  • Service interruptions
  • Third-party actions

Some jurisdictions may limit these exclusions.

15. Indemnification

You agree to indemnify and hold harmless Citta AI and its employees from claims arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of law
  • Your data uploads or processing activities

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the State of incorporation of Citta AI

Disputes shall first attempt:

  • Good-faith negotiation
  • Mediation
  • Binding arbitration (if applicable)
  • Courts of the governing state, if arbitration does not apply

17. Changes to the Terms

  • We may update these Terms periodically.
  • The revised Terms become effective once posted.
  • Continued use of the Services constitutes acceptance of changes.
